Welcome to the balance wallet service provided by TOPUPLIVE (hereinafter referred to as the "Wallet Service"). This "TOPUPLIVE Balance Wallet Agreement" (hereinafter referred to as "this Agreement") is formulated in accordance with relevant laws, regulations, and the standard business models of cross-border virtual commodity platforms to regulate the rights and obligations of users using the balance wallet on the TOPUPLIVE platform.
Please read and fully understand the contents of this Agreement carefully before opening or using the Wallet Service. If you complete a top-up, use your balance for payment, or actually use the Wallet Service in any other way, you are deemed to have read, understood, and agreed to be bound by all the terms of this Agreement.
1. Definitions
- 1.1 TOPUPLIVE: Refers to the actual operating entity of the TOPUPLIVE platform and its provided related websites, mobile applications, API interfaces, and technical services.
- 1.2 User: Refers to a natural person with full civil capacity, or a legally established and validly existing legal person or other organization, that has completed registration on TOPUPLIVE.
- 1.3 Balance Wallet: Refers to the virtual bookkeeping account provided by TOPUPLIVE to record the user's prepaid funds. It is limited to internal platform use and does not constitute a bank account, payment account, electronic currency, or deposit account.
- 1.4 Available Balance: Refers to the amount that has been successfully credited, is not frozen, and can be used for consumption on the platform.
- 1.5 Frozen Balance: Refers to the amount temporarily restricted from use due to risk control audits, refund processing, chargeback disputes, compliance, or judicial requirements.
- 1.6 Third-party Payment Channels: Refers to third-party institutions providing fund collection, payment, or settlement services to TOPUPLIVE, including but not limited to credit card organizations, e-wallets, local transfers, or other payment service providers.
2. Legal Attributes and Restrictions of the Wallet Service
- 2.1 The Balance Wallet is merely an internal prepaid value bookkeeping tool for the platform. It does not possess the attributes of legal tender and is not electronic currency, a stored-value card, or a regulated payment instrument.
- 2.2 The wallet balance does not generate any form of interest, yield, or consideration. Users may not claim that it possesses deposit, wealth management, or investment attributes.
- 2.3 The wallet balance can only be used to purchase virtual goods or services displayed on the TOPUPLIVE platform that are permitted for balance payment. It shall not be used for offline transactions, transfers between users, or any illegal purposes.
3. Balance Top-up and Compliance of Fund Sources
- 3.1 Users may top up their Balance Wallet through third-party payment channels supported by the platform.
- 3.2 Users confirm and guarantee that the source of their top-up funds is legal and authentic, and does not involve money laundering, terrorist financing, fraud, card theft, or other illegal acts.
- 3.3 The top-up amount is based on the actual amount received by TOPUPLIVE. Any amount deviations resulting from exchange rate fluctuations, bank or payment institution handling fees, or cross-border settlement differences shall be borne by the user.
- 3.4 Under Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF), or other compliance requirements, TOPUPLIVE has the right to require users to supplement identity information, provide explanations for the source of funds, or complete KYC/KYB verification.
- 3.5 Except as otherwise expressly supported by laws, regulations, or platform rules, funds topped up to the wallet are, in principle, non-withdrawable.
4. Balance Usage and Deduction Authorization
- 4.1 Users may use their Available Balance to pay for orders initiated and confirmed by them on the TOPUPLIVE platform.
- 4.2 Users confirm that using the balance for payment constitutes an irrevocable deduction authorization to TOPUPLIVE.
- 4.3 If the balance is insufficient to complete the payment, the user must cover the difference through other payment methods or top up again.
5. Refunds, Returns to Balance, and Freezing Mechanisms
- 5.1 Due to order cancellation, failure, out-of-stock situations, or other circumstances supported by platform rules, TOPUPLIVE has the right to return the relevant funds to the user's Balance Wallet.
- 5.2 Funds returned to the wallet may be automatically marked as Frozen Balance based on risk control and compliance requirements. The freezing period depends on payment channel rules, chargeback risk cycles, or the progress of compliance reviews.
- 5.3 Frozen balances shall not be used for payment, withdrawal, transfer, or any other purpose before being unfrozen.
- 5.4 If the original payment channel supports a refund to the original source, TOPUPLIVE has the right to independently determine the refund path (to the wallet or the original source) based on risk assessment, channel restrictions, or compliance requirements.
6. Risk Control, Anti-Fraud, and Anti-Money Laundering Measures
6.1 To fulfill compliance obligations and protect the legitimate rights and interests of the platform and third parties, TOPUPLIVE has the right to monitor and analyze user transaction behavior.
6.2 TOPUPLIVE has the right to freeze, restrict use, or take other necessary measures regarding a user's Balance Wallet in any of the following circumstances:
- 6.2.1 Triggering platform anti-fraud, anti-money laundering, or risk control rules;
- 6.2.2 The existence of chargebacks, disputes, complaints, or investigations regarding an order;
- 6.2.3 The user exhibits abnormal transaction patterns, arbitrage, abuse of discounts, or suspected violations;
- 6.2.4 Requirements based on laws, regulations, regulatory agencies, or judicial/law enforcement authorities.
6.3 The act of freezing does not constitute a final determination of the user's violation; the platform will handle the matter in accordance with the law based on the investigation results.
7. Chargebacks and Dispute Liability
- 7.1 If a user initiates a chargeback, reversal, or payment dispute through a third-party payment channel, TOPUPLIVE has the right to immediately freeze their wallet balance and account functions.
- 7.2 Channel handling fees, fines, exchange losses, and reasonable platform management costs resulting from a chargeback shall be borne by the user. The platform has the right to deduct these directly from the user's balance.
- 7.3 If the user's balance is insufficient to cover the relevant losses, TOPUPLIVE has the right to seek recovery in accordance with the law or take further restrictive measures.
8. Account Security and User Responsibility
- 8.1 Users should properly safeguard their account information and assume full responsibility for all operations under their account.
- 8.2 Losses caused by the user's own reasons (including but not limited to account leakage, authorizing others to operate, or insecure devices) shall be borne by the user.
- 8.3 If a user discovers abnormal transactions or security risks, they should contact TOPUPLIVE customer service immediately. If the failure to notify in a timely manner leads to an expansion of the loss, the user shall bear the relevant responsibility.
9. Service Suspension, Termination, and Balance Disposal
- 9.1 If a user violates this Agreement, platform rules, or applicable laws and regulations, TOPUPLIVE has the right to suspend or terminate their Wallet Service.
- 9.2 In the event of service termination, the platform will freeze, return, or otherwise legally dispose of the user's balance based on laws, regulations, regulatory requirements, and risk assessments.
- 9.3 Regarding balances involving illegal gains, fraudulent funds, or regulatory freezes, the platform has the right to cooperate with relevant agencies in accordance with the law.
10. Agreement Amendments
- 10.1 TOPUPLIVE has the right to revise this Agreement based on business adjustments or changes in laws and regulations, and will notify users through platform announcements or other reasonable means.
- 10.2 If a user does not agree with the revised content, they should immediately stop using the Wallet Service. Continued use is deemed acceptance of the revised Agreement.
11. Governing Law and Dispute Resolution
- 11.1 The formation, validity, performance, and interpretation of this Agreement shall be governed by the laws of the location of the actual operating entity of TOPUPLIVE.
- 11.2 Any dispute arising from this Agreement shall first be settled through friendly negotiation between the parties. If negotiation fails, the dispute shall be submitted to the court with jurisdiction in the location of the platform's operating entity.
12. Miscellaneous
- 12.1 Matters not covered by this Agreement shall be subject to the relevant rules, announcements, or policies published by the TOPUPLIVE platform.
- 12.2 If any part of this Agreement is deemed invalid or unenforceable, it shall not affect the validity of other terms.
